01. Introduction and Acceptance
These Terms of Service (Terms) form a legally binding agreement between you and Behind The Project (BTP, we, us, or our), governing your access to and use of our website, our web application, and any related products and services we make available from time to time (collectively, the Services).
By creating an account, accessing, or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use the Services. These Terms are governed by the laws of New South Wales, Australia.
02. About the Services
2.1 Description of the Services
Behind The Project is an AI-native construction contract analysis platform designed specifically for subcontractors. The Services provide clause-by-clause document review, risk scoring, and AI-generated negotiation drafting for construction contracts, scopes of work, and annexures.
BTP is a data display and AI insights tool. It is not a law firm, solicitor, or legal practitioner. BTP does not execute contracts on your behalf, nor does it represent you in commercial negotiations.
2.2 No Legal or Financial Advice
Nothing on the Services constitutes legal advice, financial product advice, tax advice, or any other regulated professional advice. Any information, risk scores, summaries, negotiation drafts, or analysis generated through the Services are provided for general informational purposes only and may be incomplete, inaccurate, delayed, or unsuitable for your specific commercial circumstances.
You are solely responsible for assessing any output before relying on it, and you should obtain advice from a qualified construction lawyer before signing binding commercial contracts.
03. Eligibility
To use the Services, you must be at least 18 years old, have the legal capacity to enter into a binding agreement, and not be prohibited from using the Services under applicable law. If you access or use the Services on behalf of a business (such as a subcontractor entity or company), you represent that you have authority to bind that entity to these Terms.
04. Accounts and Registration
To access the Services, you are required to create an account. You agree to provide accurate, current, and complete information. You are responsible for keeping your login credentials secure and confidential, and you must notify us promptly at support@behindtheproject.com.au if you suspect unauthorized access.
Because you may be uploading commercially sensitive contracts, we strongly recommend enabling any available security measures, such as two-factor authentication, in your account settings.
05. Subscriptions, Billing and Payment
5.1 Plans
BTP offers various pricing tiers, including a one-time Pay Per Project tier, a Pro Monthly subscription, and a Founder Plan (annual). Features, usage limits, and pricing for each plan are detailed on our Pricing page and may change from time to time.
5.2 Auto-renewal and Payments
Unless otherwise stated (e.g., Pay Per Project), paid subscriptions renew automatically at the end of each billing period unless cancelled. Payments are processed by third-party payment providers (e.g., Stripe). By purchasing a paid subscription, you authorise us and our payment processor to charge the applicable subscription fees.
5.3 Cancellation and Refunds
You may cancel a recurring subscription at any time through your account settings. Except as required by the Australian Consumer Law, subscription fees and one-time project analysis fees are non-refundable once the service has been rendered or a billing period has commenced.
06. Your Data and Privacy
6.1 Ownership: You retain ownership of the contracts, scopes of work, annexures, and information you upload to the Services (Your Data).
6.2 Licence: You grant us a non-exclusive, worldwide, royalty-free licence to host, process, and use Your Data only to the extent reasonably necessary to provide the Services (including processing via AI models), maintain security, and comply with applicable law.
6.3 Accuracy: You are responsible for ensuring you have all rights, consents, and permissions needed to upload third-party contracts to our platform for analysis.
07. Acceptable Use
You must use the Services only for lawful purposes. You must not: access the Services in a fraudulent or deceptive manner; upload documents you do not have the right to process; reverse engineer or attempt to discover the underlying AI prompts or source code of the Services; or use automated bots/scrapers to access the Services.
08. Intellectual Property
As between you and us, we own or licence all rights, title, and interest in the Services, including our software, AI logic, UI design, and related intellectual property (excluding Your Data). We grant you a limited, non-exclusive, non-transferable right to access and use the Services for your internal business purposes during your subscription.
09. Disclaimers
To the maximum extent permitted by law, the Services are provided on an "as is" and "as available" basis. We do not warrant that any AI-generated insight, negotiation draft, or risk analysis will be accurate, complete, reliable, or suitable for your circumstances. Artificial Intelligence is prone to hallucination and omission; all outputs must be verified by a human expert.
10. Limitation of Liability
To the maximum extent permitted by law, neither party is liable for any indirect, consequential, or special loss, including loss of profits, commercial opportunities, or lost tenders. Our total aggregate liability arising out of or in connection with the Services will not exceed the total fees paid by you to us in the 12 months immediately preceding the event giving rise to the claim.
11. Dispute Resolution
Before starting court proceedings, a party must give the other party written notice of the dispute, and the parties must attempt to resolve the dispute in good faith by discussion for at least 14 days. If unresolved, proceedings may be commenced in a court of competent jurisdiction in New South Wales.
